These Terms and Conditions (“Terms”) are a legal agreement between you and Zami Australia Pty Ltd (ABN 46 696 645 888) of 26 Teton Court, Highett VIC 3190, Australia (“Zami”, “we”, “us”, “our”). They govern your access to and use of the Zami business platform and any related websites, applications, APIs and services (together, the “Service”).

Please read these Terms carefully. By creating an account, accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are entering into these Terms on behalf of a company, organisation or other legal entity, you represent that you have the authority to bind that entity. In that case, “you” and “your” refer to that entity.


1. About these Terms

1.1 Acceptance
You accept these Terms when you:
- Click an “I agree”, “Sign up” or similar button when creating an account;
- Access or use any part of the Service; or
- Continue to use the Service after we notify you of changes to these Terms.

1.2 Documents that form part of these Terms
These Terms incorporate by reference our Privacy Policy and any additional terms we publish for specific features, integrations or beta programs. If there is any inconsistency, the additional terms for a specific feature prevail to the extent of the inconsistency for that feature only.

1.3 Order of precedence
If you have a separately signed written agreement with us covering the Service, that signed agreement prevails over these Terms to the extent of any inconsistency.


2. Definitions

In these Terms:
- “Authorised User” means an individual you authorise to access the Service under your account.
- “Customer Data” means all data, content, files, records and information that you or your Authorised Users submit to or generate through the Service.
- “Documentation” means the user guides and reference material we publish at docs.zami.com.au.
- “Fees” means the subscription fees and charges payable for the Service.
- “Personal Information” has the meaning in the Privacy Act 1988 (Cth).
- “Subscription” means a paid subscription to the Service for a specified plan and term.
- “Subscription Term” means the period for which you have paid Fees.
- “Third-Party Services” means products, services or content provided by third parties that you use with the Service.
- “Trial” means the free 30-day evaluation period.


3. The Zami Service

Zami is a cloud-based business management platform to help manage sales, customers, products, inventory, purchasing, production runs, deliveries, and analytics. We may add, change, remove, or suspend features at any time. Reasonable notice will be provided for material changes that adversely affect features you use.


4. Eligibility, Accounts and Authorised Users

4.1 Eligibility
You must be at least 18 years old and have legal capacity to enter into a contract. The Service is for business use, not for personal or household use.

4.2 Account Creation
You must provide accurate, current and complete registration information and keep it up to date.

4.3 Authorised Users
You are responsible for ensuring each Authorised User complies with these Terms, the acts and omissions of Authorised Users, and all activity that occurs under accounts linked to you.

4.4 Account Security
Keep your login credentials confidential and notify us immediately at support@zami.com.au if you suspect unauthorised access.


5. Subscriptions, Fees and Billing

5.1 Free Trial
A 30-day free trial for new accounts. After the trial, your account either converts to paid (if you subscribe) or becomes read-only/suspended. Trial length may change at any time for new sign-ups.

5.2 Subscription Model
The Service is sold on a monthly subscription per company basis. Each workspace requires a separate subscription unless otherwise indicated.

5.3 Billing
Fees are billed in advance for each Subscription Term and processed by our provider, Stripe. By providing payment details you authorise us (and Stripe) to charge all relevant Fees.

5.4 Auto-Renewal
Subscriptions renew automatically at the end of each term, unless cancelled before the next renewal date.

5.5 Taxes
Fees are exclusive of GST. You are responsible for all taxes except our income tax.

5.6 Failed Payments
We may retry failed payments, suspend access, and may terminate the Subscription if payment remains unpaid for more than 14 days.

5.7 Price Changes
We may change Fees with at least 30 days’ notice before increases take effect. Changes apply from your next Subscription Term after the notice period.


6. Refunds and Cancellation

6.1 Cancellation
You can cancel your Subscription anytime; it takes effect after the current paid period.

6.2 No Refunds
All Fees are non-refundable except as required by law.

6.3 Australian Consumer Law
Nothing excludes legal rights under consumer law which cannot be limited by contract:
- For services: we may resupply the services or pay the cost of resupply.
- For goods: replacement, repair or equivalent supply, or cost thereof.


7. Customer Data

7.1 Ownership
You own all Customer Data. We do not claim ownership.

7.2 Licence to Us
You grant us a licence to use Customer Data to provide, maintain, and improve the Service, comply with legal obligations, and enforce these Terms.

7.3 Your Responsibility
You are responsible for the accuracy and legality of your Customer Data and having appropriate rights.

7.4 Data Export
While your subscription is active, you may export Customer Data. After your subscription ends, see Section 15.


8. Acceptable Use

You and your Authorised Users must not:
- Breach laws or third-party rights;
- Upload, transmit or store unlawful or harmful data;
- Use the Service to send spam;
- Attempt unauthorised access or introduce malicious code;
- Disrupt the Service;
- Use automated means except through our API;
- Reverse engineer, resell, sublicense, or commercially exploit the Service unless authorised in writing;
- Benchmark or use the Service to build a competing product.

8.1 Fair Use
Materially excessive usage may be reviewed and adjustments (plan change or rate limits) may apply.


9. Third-Party Services and Integrations

Third-party integrations (such as Stripe, Xero, MYOB, Google Maps, OpenAI) are governed by separate agreements with their providers. We do not warrant their performance or security. Enabling integrations authorizes necessary data exchange.


10. AI Features

AI-powered features may send inputs (including Customer Data) outside Australia for processing by third parties. AI outputs are “as is” and must be verified before use in business decisions. Do not input sensitive data except as indicated. We do not let providers use your data to train general-purpose models.


11. Intellectual Property

11.1 Our IP
The Service, documentation, and Zami brand are owned by us or licensors. You receive a limited, non-exclusive, revocable licence for your use during your Subscription Term.

11.2 No Other Rights
All rights not expressly granted are reserved.

11.3 Feedback
Feedback you provide may be used by us for any purpose, royalty-free.


12. Confidentiality

Each party must keep the other’s confidential information confidential and use it only as permitted. Exceptions apply for information that is public, independently developed, or required by law to be disclosed.


13. Service Availability

13.1 Best Efforts
We use reasonable efforts to provide 24/7 availability but do not guarantee uptime.

13.2 Maintenance and Outages
Service may be unavailable for maintenance or events beyond control.

13.3 Beta Features
Beta features are “as is” and may change or be withdrawn.


14. Suspension and Termination

14.1 By You
You may terminate your Subscription at any time. Termination is effective at the end of your Subscription Term.

14.2 By Us for Convenience
We may terminate by 30 days’ written notice.

14.3 By Us for Cause
We may suspend or terminate for breach, non-payment, security, reputational risks, or insolvency.

14.4 Suspension
Suspension may be used as a proportional response.


15. Effect of Termination

Upon termination, your right to access the Service ends. Customer Data is retained for 90 days for export then permanently deleted. Certain records (invoices, payments) are preserved as required by law. Terms about fees, data, IP, confidentiality, and legal matters survive termination.


16. Warranties and Disclaimers

16.1 Mutual Warranties
Each party has the authority to agree to these Terms.

16.2 Service Disclaimer
Service is “as is”; no warranty of uninterrupted or error-free operation.


17. Limitation of Liability

17.1 Excluded Loss
Neither party is liable for indirect or consequential loss. No liability for lost business, profits, or data.

17.2 Liability Cap
Liability is limited to twelve months’ paid Fees.

17.3 No Limit for Certain Matters
No limitation for death/personal injury from negligence, fraud, indemnity, or liability that can’t be limited by law.


18. Indemnity

You agree to indemnify Zami for damages, costs, or claims relating to:
- Customer Data;
- Breach of law or these Terms;
- Misuse of the Service;
- Alleged infringement of third-party rights.


19. Changes

19.1 Service Changes
We may change the Service, but not reduce functionality without notice and a refund in certain cases.

19.2 Terms Changes
We may update the Terms. Material changes are announced at least 30 days in advance. You may cancel before changes take effect.


20. Governing Law

These Terms are governed by the laws of Victoria, Australia. Disputes are subject to jurisdiction of their courts.


21. Dispute Resolution

Before court proceedings, parties will:
- Notify in writing and negotiate in good faith;
- Attempt mediation;
- Seek urgent relief as needed.


22. General Provisions

22.1 Assignment
You may not assign the agreement without our consent; we may assign with notice.

22.2 Severability
Invalid provisions are modified as necessary; remaining terms remain in full force.

22.3 Waiver
Failure to enforce a right does not waive it.

22.4 Entire Agreement
These Terms, Privacy Policy and additional terms are the whole agreement.

22.5 Notices
Contact us at support@zami.com.au or our registered address; we may contact you by your account email or app notification.

22.6 Relationship
No partnership, agency or employment relationship is created.

22.7 Force Majeure
Neither party is liable for delays beyond reasonable control (e.g. disasters, war, acts of government).

22.8 Third-Party Rights
No third party has rights under these Terms.
